OFFICIAL RULES

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED. BY PARTICIPATING IN THIS SWEEPSTAKES, YOU ARE SIGNIFYING YOUR AGREEMENT THAT YOU HAVE READ AND AGREE TO BE LEGALLY BOUND BY THESE OFFICIAL RULES AND REGULATIONS (THE “OFFICAL RULES”). IF YOU DO NOT AGREE TO THESE OFFICIAL RULES, YOU MUST NOT ENTER THE SWEEPSTAKES. THIS SWEEPSTAKES IS NOT SPONSORED, ENDORSED, ADMINISTERED, OR IN ANY WAY ASSOCIATED WITH INSTAGRAM.

1. Eligibility: The JOI-Jetting Education Trip: BTC Show 2025 Sweepstakes (“Sweepstakes”) is open only to licensed haircare professionals that are (a) legal residents of Canada and (b) have reached the legal age of majority in their jurisdiction of residence. All federal, provincial and local laws and regulations apply. Employees of Henkel Canada Corporation (“Sponsor”), acting through its Joico division, and its affiliates, subsidiaries, advertising and promotional agencies, vendors, contractors, and any company affiliated with the Sweepstakes (collectively, “Sweepstakes Entities”) and the immediate family members (defined as spouse, siblings, children and each of their respective spouses, regardless of residence and any person living in such a person’s household, whether related or not) of each of the foregoing are not eligible to participate. Sponsor reserves the right to verify the eligibility of winners.

2. Entry Period: Sweepstakes begins at 8:00am Pacific Time (“PT”) on June 23, 2025 and ends at 11:59pm
PT on June 30, 2025 (“Entry Period”). Sponsor’s computer is the official time keeping device for this Sweepstakes.

3. How To Enter: No purchase necessary. To enter the Sweepstakes, during the Entry Period visit https://www.joico.ca/pro-giveaways/ and complete the entry form (“Entry Form”), including entering your name, valid email and signifying: (i) that you agree to receive electronic commercial communications, including promotions, offers, news, and other promotional materials from the Sponsor (IMPORTANT NOTE: You may opt-out at any time after the Entry Period has closed without impacting your eligibility or chances of winning); and (ii) have read and agree to be legally bound by the terms and conditions of these Official Rules. Upon submission of the Entry Form, you (“Entrant”) will receive one (1) entry (“Entry”) into the Sweepstakes. Each submission of an Entry Form constitutes a unique Entry into the Sweepstakes. LIMIT ONE ENTRY PER PERSON PER EMAIL ACCOUNT.

If it is discovered by the Sponsor (using any evidence or other information made available to or otherwise discovered by the Sponsor) that any person has attempted to: (i) use multiple names, multiple identities, multiple accounts, multiple e-mail addresses and/or any automated, macro, script, robotic or other system(s) or program(s) to enter or otherwise participate in or to disrupt the Sweepstakes; and/or (ii) disrupt or participate in the Sweepstakes in any other fraudulent or misleading way, then he/she may be disqualified from the Sweepstakes in the sole and absolute discretion of the Sponsor. Normal Internet access, message, data rates, and usage charges imposed by online or phone services may apply. Entries must be submitted by Entrant. Automated or bulk Entries or Entries submitted by third parties will be disqualified. All required information must be provided on the Entry Form. Incomplete, illegible, corrupted, or untimely Entries are void and will be disqualified. Multiple Entrants are not permitted to share the same email address. In the event of a dispute as to the identity of an Entrant, the authorized account holder of the email address listed on the Entry Form will be determinative. The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider, or other organization responsible for assigning email addresses for the domain associated with the submitted address. Potential winners may be required to show proof of being the authorized account holder or forfeit the prize. If a dispute cannot be resolved to Sponsor’s reasonable satisfaction, the Entry will be deemed ineligible. Sponsor shall not be responsible for lost, misdirected, misplaced, stolen, tampered with, deleted, or invalid Entries or any expenses incurred in the creation and submission of any Entry. Entries specifying an invalid, non-working, or inactive email address will be disqualified.

4. Verification: All entrants are subject to verification at any time and for any reason. The Sponsor reserves the right, in its sole and absolute discretion, to require proof of identity and/or eligibility (in a form acceptable to the Sponsor – including, without limitation, government issued photo identification): (i) for the purposes of verifying an entrant’s eligibility to participate in this Sweepstakes; (ii) for the purposes of verifying the eligibility and/or legitimacy of any Entry and/or other information provided (or purportedly provided) for the purposes of this Sweepstakes (including but not limited to identification for the purpose of proving that you are the account holder); and/or (iii) for any other reason the Sponsor deems necessary, in its sole and absolute discretion, for the purposes of administering this Sweepstakes in accordance with the letter and spirit of these Rules. Failure to provide such proof to the complete satisfaction of the Sponsor within the timeline specified by the Sponsor may result in disqualification in the sole and absolute discretion of the Sponsor.

5. Winner Selection and Notifications: On or about July 2, 2025, one (1) potential winner ( a “Potential Winner”) will be chosen in a random drawing from among all eligible Entries received during the Entry Period by Sponsor or Sponsor’s designee. The Potential Winner will be contacted via email to the email address provided on the Entry Form (“Notification”). It is the Potential Winner’s responsibility to monitor their email address to see if they are the Potential Winner. Sponsor is not responsible for and shall not be liable for late, lost, damaged, intercepted, misdirected, or unsuccessful efforts to notify the Potential Winner.

NO ONE IS A WINNER UNLESS AND UNTIL THE SPONSOR OFFICIALLY CONFIRMS HIM/HER AS THE WINNER IN ACCORDANCE WITH THESE RULES. BEFORE BEING DECLARED A CONFIRMED SWEEPSTAKES WINNER, the Potential Winner will be required to (a) correctly answer a mathematical skill-testing question without mechanical or other aid (which may, in the sole and absolute discretion of the Sponsor, be administered online, by email or other electronic means, by telephone, or in the Sponsor’s form of declaration and release); and (b) sign and return within five (5) business days of notification the Sponsors’ declaration and release form (the “Release”), which (among other things): (i) confirms compliance with these Rules; (ii) acknowledges acceptance of the Prize (as awarded); (iii) releases the Released Parties from any and all liability in connection with this Contest, their participation therein and/or the awarding and use/misuse of the Prize or any portion thereof; (iv) agrees to indemnify the Released Parties against any and all claims, damages, liabilities, costs, and expenses arising from use of his/her Contest-Related Information or any portion(s) thereof; and (v) agrees to the publication, reproduction and/or other use of their name, address, voice, statements about the Contest and/or photograph or other likeness without further notice or compensation, in any publicity or advertisement carried out by or on behalf of the Sponsor in perpetuity throughout the world in any manner or medium whatsoever, including print, broadcast or the internet.

In the event a Potential Winner (a) chooses not to accept the prize, (b) is not in compliance with these Official Rules, (c) is unable to be notified after reasonable attempts, (d) fails to sign and return the Release within the required time period (if applicable), (e) is unable to travel on the required dates, (f) is disqualified for any reason, or if any Notification or other correspondence from Sponsor is returned as undeliverable, prize will be forfeited, Sponsor shall have no further obligation to Potential Winner, and an alternate winner will be selected from the remaining eligible Entries. Only one (1) alternate drawing will be held, after which any remaining prize will remain un-awarded.

Upon satisfactory completion of the above, and upon verification of eligibility by Sponsor, a Potential Winner will be deemed a “Sweepstakes Winner”. Once verification is complete, Sweepstakes Winner will then be asked to provide the name and email address of the individual for whom Sweepstakes Winner would like to bring as their guest (the “Friend” – subject to the Friend Requirements below).

6. Prizes/ARV/Odds: One (1) prize (the a “Prize”) available to be awarded during the Sweepstakes. The Prize will consist of a trip for the Sweepstakes Winner and the Friend to the to the Behind the Chair 2025 Show (“Event”) in Dallas, TX and includes:

• round-trip economy-class airfare to/from Dallas, TX;
• Hotel accommodations (one (1) room, double occupancy, incidentals not included) for three (3) nights at a hotel to be determined by Sponsor; and
• admission to the Event

The total approximate retail value (“ARV”) of the Prize is $2,490.00 CAD. ARV is based on a hypothetical Toronto, Ontario departure example – although the actual retail value may vary depending on the point of departure and/or other factors. Under no circumstances whatsoever will any difference between the actual and approximate retail values be awarded.

Odds of winning the Prize depend on the number of eligible Entries received. In the event there is a discrepancy or inconsistency between statements contained in any such materials and the terms and conditions of these Official Rules, these Official Rules shall prevail, govern and control. The Sweepstakes Entities are not responsible for any cancellations, delays, diversions or substitutions, or any act or omission whatsoever with respect to the Prize. Only the number of Prizes stated in these Official Rules is available to be won in the Sweepstakes. If, by reason of a print or other error, more Prizes are claimed than the number set forth in these Official Rules, an alternate winner(s) will be selected in accordance with the winner selection method described below from among all eligible claimants making purportedly valid claims to award the advertised number of Prizes available.

Entrants acknowledge that the Sponsor has neither made nor is in any manner responsible or liable for any warranty, representation or guarantee express or implied, in fact or in law, relative to Prize, including, but not limited to, its quality or fitness for a particular purpose.

Sweepstakes Winner shall be solely responsible for all local, provincial and federal taxes on his/her Prize, if applicable, including sales or use taxes, as well as any expenses related to participation in the Sweepstakes or acceptance or use of a Prize.
All prize details not specified in these Official Rules will be determined in Sponsor’s sole and absolute discretion. Prize details are subject to change, and Sponsor will provide Entrants with reasonable notice of any change to the prize details. Unclaimed prizes will be forfeited.

7. Prize Restrictions: Any and all applicable federal, provincial, and local taxes and all fees and expenses related to acceptance and use of Prize not specifically stated herein, including but not limited to, change of air travel fees, ground transportation, automobile insurance, meals, incidentals, passenger tariffs or duties, surcharges, service charges or facility charges, personal charges at lodging, security fees and/or other expenses, are the sole responsibility of Sweepstakes Winner. Prize cannot be substituted, assigned, or transferred; however, Sponsor reserves the right to make equivalent prize substitutions at its sole discretion. Sponsor will not replace any lost or stolen prizes or components of a Prize. Prize cannot be used in conjunction with any other promotion or offer.

Sweepstakes Winner and Friend must be able to travel and attend the Event from August 23-26, 2025 (or on such dates as otherwise specified by the Sponsor). Sponsor will, in its sole discretion, determine which airport is closest to Sweepstakes Winner’s residence. Sweepstakes Winner and Friend are responsible for obtaining all necessary travel documents including, but not limited to, a valid passport and visa(s), as required) to permit participation in the Prize, must not have any legal barrier to travel to, and return from, the applicable destination point, and must participate on the itinerary as set by or on behalf of the Sponsor. Travel arrangements must be made through Sponsor’s agent and on an airline carrier of Sponsor’s choice. Certain travel restrictions may apply. Sweepstakes Winner and Friend are also responsible for obtaining travel insurance (and all other forms of insurance) at their option, and hereby acknowledges that Sponsor has not and will not obtain or provide travel insurance or any other form of insurance. No refund or compensation will be made in the event of the cancellation or delay of any flight, except at the sole discretion of Sponsor.

Travel is subject to the terms and conditions set forth in these Official Rules and those set forth by Sponsor’s airline carrier of choice as detailed in the passenger ticket contract. The passenger contracts in use by the airlines or other transportation companies shall constitute the sole contracts with respect to the Sweepstakes Winner’s and Friend’s transportation, and such contracts shall be solely between the Sweepstakes Winner and Friend and such transportation companies. Lost, stolen or damaged airline tickets will not be replaced or exchanged. No stopovers are permitted on tickets issued as part of the Prize. If a stopover occurs, the Prize travel will terminate, and Sweepstakes Winner and Friend will be responsible for the full fare, which will be charged from the stopover point for the remaining trip segment(s), including the return. Sponsor shall not be responsible for any cancellations, delays, diversions or substitutions or any act or omissions whatsoever by any air carrier(s) or other transportation companies or any other persons providing any of these services to passengers including any results thereof such as changes in services or accommodations necessitated by same. Airline tickets issued in connection with the Prize may not be eligible for frequent flyer miles or upgrades. Sweepstakes Winner and Friend must comply with all hotel check-in requirements, including, but not limited to, the presentation of a payment card, which will be charged for incidentals. Air transportation and hotel accommodations must be taken together and cannot be taken separately.

Sweepstakes Winner and Friend agrees to comply with all rules and regulations in place at the applicable Event venue, and all terms and conditions as stated on the Event tickets. Failure to do so may result in forfeiture of such portion of the Prize. Sweepstakes Winner further agrees not to act in an unsportsmanlike or disruptive manner while in attendance at the Event.

In the event Sweepstakes Winner or Friend engages in behavior during travel or at the Event that (as determined by Sponsor in its sole discretion) is obnoxious or threatening, illegal, or that is intended to threaten or harass any other person, or that in any way disparages or adversely affects the reputation, image, and/or customer goodwill of Sponsor or any of Sponsor’s services, products, trademarks, service marks, or logos, Sponsor reserves the right to terminate the travel early, and send Sweepstakes Winner and Friend home with no further obligations or compensation whatsoever to Sweepstakes Winner which may, in Sponsor’s sole discretion, result in such Sweepstakes Winner’s disqualification from the Sweepstakes and forfeiture of any (and/or all) Prize(s). In the event Sweepstakes Winner or Friend engages in behavior during travel or at the Event that (as determined by Sponsor in its sole discretion) is illegal, tortious, or subjects Sweepstakes Winner or Friend to arrest or detention, Sponsor shall have no obligation to pay any damages, fees, fines, judgments or other costs or expenses of any kind whatsoever incurred by Sweepstakes Winner or Friend as a result of such conduct. SPONSOR SHALL HAVE NO LIABILITY FOR ANY PERSONAL INJURIES, DEATH, PROPERTY DAMAGE, OR OTHER DAMAGES OR EXPENSES RESULTING FROM OR ARISING OUT OF ANY TRAVEL RELATED TO THE PRIZE OR ANY OTHER ASPECT OF SWEEPSTAKES WINNER’S ACCEPTANCE OR USE OF THE PRIZE.

Without limiting the generality of the foregoing, by participating in the Prize, to the fullest extent permitted by applicable law, the Sweepstakes Winner and Friend: (a) signifies that they understand, acknowledge and accept that participation in the Prize may involve danger and/or exposure to risks and hazards (including without limitation as may be due to the inherent risks of travel and as may be due to possible COVID-19 exposure or infection), whether arising from foreseeable or unforeseeable human error and negligence, and that, as a result, they may suffer damage to personal property, serious personal injury, illness or even death; (b) signifies that they acknowledge and agree that the Released Parties have not made any warranties, guarantees or representations about their safety while participating in the Prize; and (c) warrants and represents that they have evaluated the nature, scope, and extent of the risks involved, and freely and voluntarily agrees and assumes any and all risks of personal injury, illness, death arising out of or connected with their participation in the Prize.

Friend Requirements: In order to participate as the Friend of the Sweepstakes Winner, the Friend must: (a) be of the legal age of majority in their jurisdiction of residence; and (b) sign and return the Sponsor’s release (by the date indicated on the release form) indicating that they waive all recourse against the Sponsor and all of the other Released Parties relating to their participation in the Prize (including, without limitation, any travel related thereto).

8. PRIVACY POLICY/DATA COLLECTION: All collected information in connection with this Sweepstakes is subject to Sponsor’s privacy policies, available https://www.henkel-northamerica.com/privacy-statement-na and https://www.henkel-northamerica.com/ca-privacy-rights. This section does not limit any other consent(s) that an individual may provide the Sponsor or others in relation to the collection, use and/or disclosure of their personal information.

9. General: Participation in the Sweepstakes constitutes Entrant’s full and unconditional agreement to these Official Rules and to Sponsor’s decisions, which are final and binding in all matters related to the Sweepstakes. Sponsor and its agencies are not responsible for lost, late, incomplete, damaged, stolen, misdirected, or illegible entries; lost, interrupted, or unavailable network, server, or other connections, garbled transmissions or miscommunications, telephone transmission problems; computer or software malfunctions or damage to a user’s computer equipment (software or hardware); technical failures; or other errors or malfunctions of any kind whether human, mechanical, electronic, or otherwise. Proof of sending or submission of Entry will not be deemed proof of receipt of same by Sponsor. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

10. WARNING: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE ASSOCIATED WITH THIS SWEEPSTAKES OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAW, AND, SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO PROSECUTE AND SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. Sponsor is not responsible for any typographical or other error in the offer or administration of this Sweepstakes, or in the announcement of Sweepstakes Winners and Prizes. Sponsor reserves the right at its sole discretion to disqualify any individual it finds to be attempting to tamper with or undermine the entry process, any website used in connection with, and/or the legitimate operation of the Sweepstakes; to violate the Official Rules; or to act in an unsportsmanlike or disruptive manner or with the intent to annoy, abuse, threaten, or harass any other person. If, for any reason, the Sweepstakes is not capable of running as planned (including without limitation, fraud, technical failures, or any other factor that is unanticipated or beyond Sponsor’s reasonable control that impairs the integrity or proper functioning of the Sweepstakes) Sponsor may, in its sole discretion, void any suspect Entries and (a) cancel or terminate the Sweepstakes (or any portion thereof); (b) modify the Sweepstakes or suspend the Sweepstakes to address the impairment and then resume the Sweepstakes in a manner that best conforms to the spirit of these Official Rules; and/or (c) award the Prize(s) at random from among the eligible, non-suspect Entries received up to the time of the impairment.

11. Limitation of Liability; Publicity; Releases: BY PARTICIPATING IN THIS SWEEPSTAKES, ENTRANT AGREES, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW THAT SPONSOR AND THE SWEEPSTAKES ENTITIES AND ITS/THEIR RESPECTIVE PARENT COMPANIES, AFFILIATES, SUBSIDIARIES, REPRESENTATIVES, CONSULTANTS, CONTRACTORS, LEGAL COUNSEL, ADVERTISING, PUBLIC RELATIONS, PROMOTIONAL, FULFILLMENT AND MARKETING, WEBSITE PROVIDERS, WEB MASTERS, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES, AND AGENTS (COLLECTIVELY, THE “RELEASED PARTIES”) WILL HAVE NO LIABILITY WHATSOEVER FOR, AND SHALL BE HELD HARMLESS BY ENTRANTS AGAINST, ANY LIABILITY FOR ANY INJURIES, LOSSES OR DAMAGES OF ANY KIND TO PERSONS, INCLUDING PERSONAL INJURY OR DEATH, OR PROPERTY RESULTING IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM ACCEPTANCE, POSSESSION, MISUSE, OR USE OF THE PRIZE, ENTRY, OR PARTICIPATION IN THIS SWEEPSTAKES OR IN ANY SWEEPSTAKES RELATED ACTIVITY, OR ANY CLAIMS BASED ON PUBLICITY RIGHTS, DEFAMATION OR INVASION OF PRIVACY, OR MERCHANDISE DELIVERY. BY PARTICIPATING IN THIS SWEEPSTAKES, ENTRANT AGREES THAT THE RELEASED PARTIES WILL NOT BE RESPONSIBLE OR LIABLE FOR ANY INJURIES, DAMAGES, OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES TO PERSONS, OR TO PROPERTY ARISING OUT OF ACCESS TO AND USE OF THE WEBSITE. THE RELEASED PARTIES ARE NOT RESPONSIBLE IF ANY PRIZE CANNOT BE AWARDED DUE TO CANCELLATIONS, DELAYS, OR INTERRUPTIONS DUE TO ACTS OF GOD, ACTS OF WAR, NATURAL DISASTERS, WEATHER, OR TERRORISM.

BY PARTICIPATING IN THIS SWEEPSTAKES, ENTRANT AGREES, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THAT THE RELEASED PARTIES WILL NOT BE RESPONSIBLE OR LIABLE FOR ANY INJURIES, DAMAGES, OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES TO PERSONS, INCLUDING DEATH, OR TO PROPERTY ARISING OUT OF ACCESS TO AND USE OF ANY WEBSITE ASSOCIATED WITH THIS SWEEPSTAKES OR THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM SUCH SITE.

EXCEPT WHERE PROHIBITED BY LAW, PARTICIPATION IN THE SWEEPSTAKES CONSTITUTES SWEEPSTAKES WINNER’S GRANT TO SPONSOR (WHICH GRANT WILL BE CONFIRMED IN WRITING ON REQUEST OF SPONSOR), AND THE RELEASED PARTIES THE RIGHT AND PERMISSION TO PRINT, PUBLISH, BROADCAST, AND USE, WORLD WIDE IN ANY MEDIA NOW KNOWN OR HEREAFTER DEVELOPED, AT ANY TIME, THE SWEEPSTAKES WINNER’S NAME, PORTRAIT, PICTURE, VOICE, LIKENESS, OPINIONS AND BIOGRAPHICAL INFORMATION (INCLUDING BUT NOT LIMITED TO HOMETOWN AND PROVINCE/TERRITORY) FOR ADVERTISING, TRADE, AND PROMOTIONAL PURPOSES WITHOUT ADDITIONAL CONSIDERATION, COMPENSATION, PERMISSION, OR NOTIFICATION. NOTHING CONTAINED HEREIN SHALL BE DEEMED TO OBLIGATE SPONSOR TO MAKE USE OF ANY OF THE RIGHTS GRANTED HEREIN AND SWEEPSTAKES WINNERS WAIVE ANY RIGHT TO INSPECT OR APPROVE ANY SUCH USE OF ANY AND EVERY NATURE AND KIND.

WITHOUT LIMITING THE FOREGOING, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EVERYTHING REGARDING THIS SWEEPSTAKES, INCLUDING THE WEBSITE AND ALL PRIZES, ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSIONS OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY. CHECK LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS.

12. Disputes: To the fullest extent permitted by applicable law, all issues and questions concerning the construction, validity, interpretation and enforceability of these Rules or the rights and obligations of participants, the Sponsors or any of the other the Released Parties in connection with the Contest will be governed by and construed in accordance with the domestic laws of the Province of Ontario and the federal laws of Canada applicable therein, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other jurisdiction’s laws. The parties hereby consent to the exclusive jurisdiction and venue of the courts located in Ontario in any action to enforce (or otherwise relating to) these Rules or relating to the Contest.

1. KEY DATES:
The Joico KBOND20 April 2025 (the “Giveaway”) begins on April 14, 2025 at 10:00:01 a.m. Pacific Time (“PT”) and ends on April 21, 2025 at 11:59:59 p.m. PT (the “Giveaway Period”).

2. ELIGIBILITY TO ENTER:
The Giveaway is open only to residents of Canada who, at the time of entry have reached the legal age of majority in their province/territory of residence. Employees, representatives and agents (and those with whom such persons are living, whether related or not) of Henkel Canada Corporation (the “Sponsor”) its parent companies, subsidiaries, affiliates, prize suppliers, advertising/promotion agencies and any other individual(s), entity or entities involved in the development, production, implementation, administration or fulfilment of the Giveaway (collectively, the “Giveaway Parties”) are not eligible to enter or win.

3. AGREEMENT TO BE LEGALLY BOUND BY RULES:
By participating in this Giveaway, you are signifying your agreement that you have read and agree to be legally bound by these Official Rules and Regulations (the “Rules”).

4. INSTAGRAM NOT INVOLVED:
The Giveaway is in no way sponsored, endorsed or administered by, or associated with Instagram (the “Social Platform”). The Social Platform is hereby completely released of all liability by each entrant in this Giveaway. Any questions, comments or complaints regarding the Giveaway must be directed to the Sponsor and not to the Social Platform. You may only use one (1) Instagram account (each, an “Account” and collectively the “Accounts”) to participate in this Giveaway. To be eligible to participate in this Giveaway, your applicable Account must be set to receive direct messages from the Sponsor. In addition, to be eligible to receive an Instagram Bonus Entry (defined below) in this Giveaway, your applicable Account must be set to public and not private.

5. HOW TO ENTER:
No purchase necessary. To enter the Giveaway first, you must log-in to your Account and visit the Sponsor’s official Joico Account on Instagram, @joicocanada (the “Sponsor Account”). Next, locate the Giveaway Post (the “Giveaway Post”) that has been posted on the Sponsor Account by or on behalf of the Sponsor. After locating the Giveaway Post, you must: (i) “like” the Giveaway Post; (ii) be or become a “follower” of the Sponsor Account and @hairbyarmineh (collectively, the “Giveaway Accounts”) – note: you can un-follow either of the Giveaway Accounts at any time after the Giveaway ends without impacting your chances of winning; and (iii) comment on the Giveaway Post, each comment must tag the Account of at least one (1) friend, tell us what you’ve tried and loved OR why you’d love to try Defy Damage and include #ContestEntry. When all required steps of the Instagram entry process are complete, you will automatically be eligible to earn one (1) Instagram entry (an “Entry”) in the Giveaway.

To be eligible, all content and materials associated with your Entry (collectively, your “Entry Materials”) must: (i) be submitted and received in accordance with these Rules during the Giveaway Period; (ii) satisfy all entry requirements described above; (iii) be in accordance with these Rules, including, but not limited to, the specific Participation Requirements listed below in Rule 8; and (iv) be in accordance with the applicable terms, rules, policies and guidelines of the Social Platform (the “Social Platform Rules”) (all as determined by Sponsor in Sponsor’s sole and absolute discretion).

6. ENTRY CONDITIONS:
There is no limit to the number of Entries per person and per Account. If it is discovered by the Sponsor (using any evidence or other information made available to or otherwise discovered by the Sponsor) that any person has attempted to: (i) use multiple names, multiple identities, multiple Instagram Accounts, any automated, macro, script, robotic or other system(s) or program(s), and/or any other means not in keeping with the Sponsor’s interpretation of the letter and spirit of these Rules to enter or otherwise participate in or to disrupt this Giveaway; and/or (ii) disrupt or participate in the Giveaway in any other fraudulent or misleading way, then he/she may be disqualified from the Giveaway in the sole and absolute discretion of the Sponsor. The Giveaway Parties, Instagram Inc., and each of their respective agents, employees, directors, officers, successors, and assigns (collectively, the “Released Parties”) are not responsible for, and accept no liability whatsoever in relation to, any late, lost, misdirected, delayed, incomplete or incompatible Entries and/or Entry Materials (all of which are void). An Entry may be rejected if, in the sole and absolute discretion of the Sponsor: (i) the Entry (including, but not limited to, any associated Entry Materials) is not submitted and received in accordance with these Rules during the Giveaway Period; and/or (ii) the Entry Materials accompanying the Entry are not in compliance with these Rules (including, but not limited to, the specific Participation Requirements listed below) and/or the Social Platform Rules (all as determined by Sponsor in its sole and absolute discretion).

7. VERIFICATION:
All Entries, Entry Materials and entrants are subject to verification at any time and for any reason. The Sponsor reserves the right, in its sole and absolute discretion, to require proof of identity and/or eligibility (in a form acceptable to the Sponsor – including, without limitation, government issued photo identification): (i) for the purposes of verifying an entrant’s eligibility to participate in this Giveaway; (ii) for the purposes of verifying the eligibility and/or legitimacy of any Entry, Entry Materials and/or other information entered (or purportedly entered) for the purposes of this Giveaway; and/or (iii) for any other reason the Sponsor deems necessary, in its sole and absolute discretion, for the purposes of administering this Giveaway in accordance with the letter and spirit of these Rules. Failure to provide such proof to the complete satisfaction of the Sponsor within the timeline specified by the Sponsor may result in disqualification in the sole and absolute discretion of the Sponsor. The sole determinant of the time for the purposes of the Giveaway will be the official time-keeping device(s) used by the Sponsor.

8. PARTICIPATION REQUIREMENTS:
BY SUBMITTING AN ENTRY, YOU AGREE TO RELEASE THE RELEASED PARTIES FROM ANY AND ALL LIABILITY IN CONNECTION WITH THE GIVEAWAY AND YOUR PARTICIPATION THEREIN AND TO INDEMNIFY THE RELEASED PARTIES AGAINST ANY AND ALL CLAIMS, DAMAGES, LIABILITIES, COSTS, AND EXPENSES ARISING FROM YOUR PARTICIPATION IN THE GIVEAWAY. BY SUBMITTING AN ENTRY, YOU AGREE THAT THE ENTRY (AND EACH INDIVIDUAL COMPONENT THEREOF – INCLUDING, WITHOUT LIMITATION, THE ENTRY MATERIALS) COMPLIES WITH ALL CONDITIONS STATED IN THESE RULES. By participating in the Giveaway, each entrant hereby warrants and represents that any Entry Materials he/she submits:
i. is/are original to him/her and that the entrant has obtained all necessary rights in and to the Entry Materials for the purposes of entering such Entry Materials in the Giveaway;
ii. does not violate any law, statute, ordinance or regulation;
iii. does not contain any reference to or likeness of any identifiable third parties, unless consent has been obtained from all such individuals and their parent/legal guardian if they are under the age of majority in their jurisdiction of residence;
iv. will not give rise to any claims whatsoever, including, without limitation, claims of infringement, invasion of privacy or publicity, or infringe on any rights and/or interests of any third party; and
v. is/are not defamatory, trade libelous, pornographic or obscene, and further that it will not contain, depict, include, discuss or involve, without limitation, any of the following: nudity; alcohol/drug consumption or smoking; explicit or graphic sexual activity, or sexual innuendo; crude, vulgar or offensive language and/or symbols; derogatory characterizations of any ethnic, racial, sexual, religious or other groups (including, without limitation, any competitors of Sponsor); that endorses, condones and/or discusses any illegal, inappropriate or risky behaviour or conduct; personal information of individuals, including, without limitation, names, telephone numbers and addresses (physical or electronic); commercial messages, comparisons or solicitations for products or services other than products of Sponsor; any identifiable third party products, trade-marks, brands and/or logos, other than those of Sponsor; conduct or other activities in violation of these Rules; and/or any other materials that are or could be considered inappropriate, unsuitable or offensive, all as determined by the Sponsor in its sole and absolute discretion.

The Sponsor and/or its promotional agency or designated content moderator (the “Reviewer”) reserves the right to screen all Entry Materials. Any Entry Materials that the Reviewer deems, in its sole and absolute discretion, to violate the terms and conditions set forth in these Rules are subject to disqualification. The Reviewer reserves the right, in its sole and absolute discretion at any time and for any reason, to remove any Entry Materials (or any part thereof) and/or to request an entrant to modify, edit and/or re-submit his or her Entry Materials (or any part thereof) in order to ensure that the Entry Materials comply with these Rules, or for any other reason. If such an action is necessary at any point during or after the Giveaway, then the Sponsor reserves the right, in its sole discretion, to take whatever action it deems necessary based on the circumstances – including, without limitation, disqualifying the Entry Materials (and therefore the corresponding Entry and/or the associated entrant) – to help ensure that the Giveaway is being conducted in accordance with the letter and spirit of these Rules.

9. LICENCE:
By entering the Giveaway and submitting an Entry, each entrant: (i) without limiting the applicable Social Platform Rules, as applicable, grants to the Sponsor, in perpetuity, a worldwide, non-exclusive, licence to publish, display, reproduce, modify, edit, make available, communicate to the public by telecommunication and otherwise use his/her Entry Materials (and each component thereof), in whole or in part, for advertising or promoting the Giveaway or for any other reason in any type of media; (ii) waives all moral rights in and to his/her Entry Materials (and each component thereof) in favour of the Sponsor (and anyone authorized by the Sponsor to use such Entry Materials); and (iii) agrees to release and hold harmless the Released Parties from and against any and all claims, damages, liabilities, costs, and expenses arising from use of his/her Entry Materials (or any component thereof), including, without limitation, any claim based on publicity rights, defamation, invasion of privacy, copyright infringement, trade-mark infringement or any other intellectual property related or other cause of action whatsoever.

10. PRIZE:
There are twenty (20) prizes available to be won (each, a “Prize”). Each Prize will consist of: (i) one (1) Defy Damage Protective Shampoo; (ii) one (1) Defy Damage Protective Conditioner; and (iii) one (1) Defy Damage KBOND20 Power Masque. The total approximate retail value of each Prize is $97.98 CAD. There is a limit of one (1) Prize per person.
The following general conditions apply to each Prize: (i) Prize must be accepted as awarded and is not transferable, assignable or convertible to cash (except as may be specifically permitted by Sponsor in its sole and absolute discretion); (ii) no substitutions are permitted, except at Sponsor’s option; (iii) the Sponsor reserves the right to substitute the Prize in whole or in part in the event that all or any component of the Prize is unavailable with a prize or prize component(s) of equal or greater retail value, including, without limitation, but solely at the Sponsor’s sole discretion, a cash award; (iv) all characteristics and features of the Prize, except as otherwise explicitly stated above, are at the Sponsor’s sole and absolute discretion; (v) Prize winner is solely responsible for all costs not expressly described herein; and (vi) as applicable, Prize winner is solely responsible for reading and following all instructions, directions for use and warnings that are associated with the Prize (including, without limitation, as provided on a product label).

11. ELIGIBLE WINNER SELECTION PROCESS:
On April 22, 2025 (the “Draw Date”) in Mississauga, Ontario at approximately 1:00 PM ET, the Sponsor will perform a random draw from among all eligible Entries submitted and received in accordance with these Rules during the Giveaway Period to select the Prize winners. The odds of winning depend on the number of eligible Entries submitted and received in accordance with these Rules during the Giveaway Period.

12. ELIGIBLE WINNER NOTIFICATION PROCESS:
The Sponsor or its designated representative will make a minimum of two (2) attempts to contact the potential winners within two (2) business days of the Draw Date via Instagram direct message. A potential winner is solely responsible for ensuring they are able to receive such notification messages, monitoring for such notification messages and following all instructions contained in such notification messages, failing which, they may be disqualified (as determined by the Sponsor in its sole and absolute discretion).

13. ELIGIBLE WINNER CONFIRMATION PROCESS:
NO ONE IS A WINNER UNLESS AND UNTIL THE SPONSOR OFFICIALLY CONFIRMS THEM AS A WINNER IN ACCORDANCE WITH THESE RULES. BEFORE BEING DECLARED A CONFIRMED PRIZE WINNER, the potential winners will each be required to: (i) correctly answer a mathematical skill-testing question without mechanical or other aid (which may, in the sole and absolute discretion of the Sponsor, be administered online, by email or other electronic means, by telephone, or in the Sponsor’s form of declaration and release); and (ii) sign and return within two (2) business days of notification the Sponsor’s declaration and release form, which (among other things): (a) confirms compliance with these Rules; (b) acknowledges acceptance of the Prize (as awarded); (c) releases the Released Parties from any and all liability in connection with this Giveaway, their participation therein and/or the awarding and use/misuse of the Prize or any portion thereof; (d) agrees to indemnify the Released Parties against any and all claims, damages, liabilities, costs, and expenses arising from use of their Entry Materials or any portion(s) thereof; and (e) agrees to the publication, reproduction and/or other use of their name, address, voice, statements about the Giveaway and/or photograph or other likeness without further notice or compensation, in any publicity or advertisement carried out by or on behalf of the Sponsor in perpetuity throughout the world in any manner or medium whatsoever, including print, broadcast or the internet.
If a potential winner: (i) cannot be contacted as set out set out above, or if there is a return of a notification as undeliverable; (ii) fails to correctly answer the skill-testing question; (iii) fails to return the properly executed Giveaway documents within the specified time; (iv) cannot accept (or is unwilling to accept) a Prize (as awarded) for any reason; and/or (v) is determined to be in violation of these Rules (all as determined by the Sponsor in its sole and absolute discretion); then they will be disqualified (and will forfeit all rights to the applicable Prize) and the Sponsor reserves the right, in its sole and absolute discretion and time permitting, to select an alternate potential winner in accordance with the procedure outlined above, with the necessary amendments (in which case the foregoing provisions of this section shall apply to such newly selected potential winner).

14. GENERAL CONDITIONS:
This Giveaway is subject to all applicable federal, provincial/territorial and municipal laws. The decisions of the Sponsor with respect to all aspects of this Giveaway, including without limitation the eligibility of entrants or any Entry Materials, are final and binding on all entrants without right of appeal.

ANYONE DEEMED BY THE SPONSOR TO BE IN VIOLATION OF THE SPONSOR’S INTERPRETATION OF THE LETTER AND/OR SPIRIT OF THESE RULES FOR ANY REASON IS SUBJECT TO DISQUALIFICATION IN THE SOLE AND ABSOLUTE DISCRETION OF THE SPONSOR AT ANY TIME.

All Entry Materials becomes the property of the Sponsor. The Released Parties will not be liable for: (i) any failure of the Social Platform or any other any website or platform during the Giveaway; (ii) any technical malfunction or other problems of any nature whatsoever, including, without limitation, those relating to the telephone network or lines, computer on-line systems, servers, access providers, computer equipment or software; (iii) the failure of any Entry Materials, winner notification message and/or other information to be received, captured or recorded for any reason whatsoever, including, but not limited to, technical problems or traffic congestion on the Internet or at any website; (iv) any injury or damage to an entrant’s or any other person’s computer or other device related to or resulting from participating in the Giveaway; (v) anyone being incorrectly and/or mistakenly identified as a winner or eligible winner; and/or (vi) any combination of the above.

The Sponsor reserves the right, in its sole and absolute discretion, to withdraw, amend or suspend the Giveaway (or to amend these Rules) in any way, in the event of any cause beyond the reasonable control of the Sponsor that interferes with the proper conduct of the Giveaway as contemplated by these Rules, including, without limitation, any error, problem, computer virus, bugs, tampering, unauthorized intervention, fraud or failure of any kind whatsoever. Any attempt to undermine the legitimate operation of the Giveaway in any way (as determined by Sponsor in its sole and absolute discretion) may be a violation of criminal and civil laws and should such an attempt be made, the Sponsor reserves the right to seek remedies and damages to the fullest extent permitted by law. The Sponsor reserves the right, in its sole and absolute discretion, to cancel, amend or suspend the Giveaway, or to amend these Rules, in any way without prior notice or obligation, in the event of any accident, printing, administrative, or other error of any kind, or for any other reason whatsoever. The Sponsor reserves the right, in its sole and absolute discretion, to administer an alternate test of skill as it deems appropriate based on the circumstances and/or to comply with applicable law.

The Sponsor reserves the right, in its sole and absolute discretion, to adjust any of the dates, timeframes and/or other Giveaway mechanics stipulated in these Rules, to the extent deemed necessary by the Sponsor, for purposes of verifying compliance of any entrants, Entry Materials and/or other information with these Rules, or as a result of any technical or other problems, or in light of any other circumstances which, in the opinion of the Sponsor, in its sole and absolute discretion, affect the proper administration of the Giveaway as contemplated in these Rules, or for any other reason.

If due to printing, production, online, internet, computer or other error of any kind, more Prizes are claimed than intended to be distributed or awarded according to these Rules then, in addition to having the right to terminate the Giveaway immediately, the Sponsor reserves the right to conduct a random drawing from amongst all eligible Prize claimants whose claims have not yet been redeemed to award the correct number of Prizes at the applicable prizing level (as stated in these Rules). The Prizes may stop being awarded in the event the Sponsor becomes aware of such an error. In no event will the Sponsor be liable to award more than the number of Prizes (at any prizing level), as provided in these Rules.
By entering this Giveaway, each entrant expressly consents to the Sponsor, its agents and/or representatives, storing, sharing and using the personal information submitted only for the purpose of administering the Giveaway and in accordance with the Sponsor’s privacy policy (available at: https://www.henkel-northamerica.com/privacy-statement-na?view=content-blank). This section does not limit any other consent(s) that an individual may provide the Sponsor or others in relation to the collection, use and/or disclosure of their personal information.

In the event of any discrepancy or inconsistency between the terms and conditions of these English Rules and disclosures or other statements contained in any Giveaway-related materials, including, but not limited to, the French version of these Rules, the Giveaway Post, the Sponsor’s Account, point of sale, television, print or online advertising and/or any instructions or interpretations of these Rules given by any representative of the Sponsor, the terms and conditions of these English Rules shall prevail, govern and control to the fullest extent permitted by law.

The invalidity or unenforceability of any provision of these Rules shall not affect the validity or enforceability of any other provision. If any provision is determined to be invalid or otherwise unenforceable or illegal, these Rules shall otherwise remain in effect and shall be construed in accordance with the terms as if the invalid or illegal provision were not contained herein.

To the fullest extent permitted by applicable law, all issues and questions concerning the construction, validity, interpretation and enforceability of these Rules or the rights and obligations of participants, the Sponsor or any of the other the Released Parties in connection with the Giveaway will be governed by and construed in accordance with the domestic laws of the Province of Ontario and the federal laws of Canada applicable therein, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other jurisdiction’s laws. The parties hereby consent to the exclusive jurisdiction and venue of the courts located in Ontario in any action to enforce (or otherwise relating to) these Rules or relating to the Giveaway.
